Henry Fair is an associate in the firm’s Real Estate practice, focusing on matters at the intersection of commercial real estate, finance, business, and litigation. He advises property owners, developers, lenders, landlords, tenants, and businesses on a broad range of transactional and dispute‑related matters, providing solution‑oriented counsel designed to advance client objectives efficiently and strategically.

Henry’s real estate practice includes commercial closings, leasing transactions, land use and zoning matters, multifamily and affordable housing projects, title insurance issues, and development‑related matters. He works with clients through all phases of real estate transactions, from structuring and negotiation through closing and implementation.

In addition, Henry represents local, regional, and national financial institutions in commercial lending matters, including loan originations, modifications, and workouts involving real estate‑secured financing. His experience also includes advising businesses on corporate structuring, governance, and strategic planning, as well as assisting with commercial litigation involving contracts, real estate disputes, and business relationships.

Henry earned his Juris Doctor from the University of South Carolina School of Law, where he was named to the President’s List and Dean’s List. Prior to entering private practice, he clerked for the South Carolina Senate Judiciary Committee and the Fifth Circuit Solicitor’s Office, experience that continues to inform his practical approach to legal problem solving.

Outside of his practice, Henry serves as a mentor through Big Brothers Big Sisters of the Central Carolinas and enjoys golf, audiobooks, and following Carolina Panthers and Florida Gators football.

  • Represented a client in breach of lease and breach of contract litigation arising from an asset purchase agreement and commercial lease. Obtained judgments against buyers/lessees, including punitive damages on a civil conspiracy claim.

  • Represented a buyer in acquiring a business and associated real estate. Drafted and negotiated purchase contracts, asset agreements, and seller‑financing documents. Coordinated closing logistics with lenders and transaction parties.

  • Represented a commercial landlord in leasing operations for a large office building. Negotiated multiple office leases, advised on landlord‑tenant issues, and coordinated lease documentation for tenants.

  • Assisted a national construction company with real estate development matters in South Carolina. Drafted and negotiated option agreements, purchase and sale agreements, and related development transaction documents.
